Terms of Service

Effective date: October 25, 2026

These Terms of Service ("Terms") govern your use of www.packneon.com (the "Site") and all purchases from Packneon, a brand of FMH Distribution LLC, a Texas limited liability company ("Packneon," "we," "us," or "our"). By using the Site, opening an account, or placing an order, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.

Packneon sells packaging materials on a wholesale basis to businesses only. We do not sell to retail consumers. By placing an order, you confirm that:

• You are at least 18 years old and authorized to act for the business you represent.
• You are buying for business use or resale, not personal or household use.
• The information you give us is accurate and complete.

• You may need to complete our new-customer form and be approved before ordering.
• We may approve, decline, or close any account at our discretion.
• You are responsible for keeping your login details confidential and for all activity under your account.
• Tell us promptly if your business details, shipping address, or tax status change, or if you suspect unauthorized use of your account.

• An order is an offer to buy. It is accepted only when we confirm it in writing (including by email) or ship it.
• We may refuse, limit, or cancel any order, including for suspected fraud, pricing errors, or stock shortages. If we cancel after payment, we will refund the amount paid.
• Orders may be subject to minimum order quantities (MOQs), which are shown on the Site, in your quote, or on your price list.
• Once confirmed, orders may be changed or cancelled only with our written approval.

• Prices are in U.S. dollars and are set by product and size, using quantity-based (tiered) pricing.
• Quotes are valid for the period stated on the quote, or 14 days if none is stated.
• We may change prices at any time without notice. Price changes do not affect orders we have already confirmed.
• If a product is listed at an incorrect price because of an error, we may cancel the order or contact you to confirm the correct price before shipping.

• Payment is due in full before shipment unless we have agreed to other terms in writing.
• We accept the payment methods shown at checkout or on your invoice. Payments are processed by third-party providers.
• For approved accounts with payment terms, invoices are due by the date stated. We may pause orders until any overdue balance is paid.
• You agree not to dispute a valid charge with your bank or card issuer without first contacting us to resolve it.

Prices do not include taxes. We collect Texas sales tax and any other applicable taxes unless you give us a valid, properly completed resale or exemption certificate before the order is invoiced. You are responsible for any taxes, duties, or penalties that result from an invalid certificate or from your use or resale of the products.

• We ship to addresses within the United States unless we agree otherwise in writing.
• Local pickup from our Richmond, Texas location may be available by appointment.
• Delivery dates are estimates only. We are not liable for delays caused by carriers, weather, customs, supplier delays, or other events outside our control.
• Title and risk of loss pass to you when we hand the goods to the carrier, or when you pick them up.
• Inspect each shipment on delivery. Report any shortage, wrong item, or visible damage within 5 business days, with photos and your order number. Otherwise the shipment is considered accepted.

• We accept returns only for products that are defective, damaged in transit, or not what you ordered, reported within the period in Section 8.
• Returns require our written approval and a return authorization before you send anything back. Unauthorized returns may be refused.
• Approved returns must be unused and in original packaging where possible. At our option, we will replace the product, issue a credit, or refund the purchase price.
• Custom, printed, or special-order products, and products that have been used or opened beyond inspection, are not returnable unless defective.

• We try to describe products accurately, including size, thickness (mil), color, and adhesive. Small variations are normal in manufacturing, and dimensions are subject to industry-standard tolerances.
• Photos are for illustration. Colors on screen may differ from the actual product.
• You are responsible for deciding whether a product is suitable for your use, including the weight, size, and type of items you ship. We recommend testing a sample before placing a large order.

We warrant that products will be free from material defects in materials and workmanship when delivered. Your only remedy for a breach of this warranty is replacement, credit, or refund under Section 9.

EXCEPT FOR THIS LIMITED WARRANTY, PRODUCTS AND THE SITE ARE PROVIDED "AS IS." TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

TO THE FULLEST EXTENT ALLOWED BY LAW, PACKNEON AND FMH DISTRIBUTION LLC, AND THEIR OWNERS, MEMBERS, EMPLOYEES, AND SUPPLIERS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST SALES, DAMAGE TO GOODS SHIPPED IN OUR PRODUCTS, OR BUSINESS INTERRUPTION.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO AN ORDER OR THE SITE WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCTS THAT GAVE RISE TO THE CLAIM.

You agree to defend and indemnify Packneon and FMH Distribution LLC against any claims, losses, and costs (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the products, or your resale of the products to others.

The Packneon name, logo, and all Site content, including text, images, and product photos, belong to FMH Distribution LLC or its licensors. You may not copy, reproduce, or use them without our written permission, except to identify our products when reselling them.

You agree not to use the Site for any unlawful purpose, submit false information, interfere with the Site's security or operation, or use bots or scrapers to collect data from it.

We are not responsible for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, severe weather, supply chain or port disruptions, carrier delays, government actions, or labor disputes.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Any dispute will be brought only in the state or federal courts located in Fort Bend County, Texas, and you consent to their jurisdiction. Before filing any claim, you agree to contact us and try to resolve the dispute informally for at least 30 days.

• Changes: we may update these Terms at any time by posting the new version on the Site. Changes apply to orders placed after the updated effective date.
• Entire agreement: these Terms, together with any written quote or invoice we issue and our Privacy Policy, are the entire agreement between you and us. If a quote or invoice conflicts with these Terms, the quote or invoice controls for that order.
• Severability: if any part of these Terms is found unenforceable, the rest remains in effect.
• No waiver: our failure to enforce any term is not a waiver of our right to enforce it later.
• Assignment: you may not transfer your rights under these Terms without our written consent.
